These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and EDHR ("we," "our," or "us") governing your access to and use of the EDHR education recruitment platform (the "Service").

By accessing, browsing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into this agreement
• You will provide accurate, current, and complete information during registration and keep such information updated
• You are responsible for maintaining the confidentiality of your account credentials
• You will not share your account with others or allow unauthorized access
• You will comply with all applicable laws, regulations, and these Terms
• All information you provide is truthful and does not infringe upon the rights of any third party

2. Description of Service

EDHR is an online platform that facilitates connections between educational institutions (schools) and education professionals (principals). Our Service includes, but is not limited to:

• Job posting and application management tools for schools
• Profile creation, job search, and application submission tools for principals
• Resume builder and career development resources
• Interview scheduling and video conferencing capabilities
• Analytics, reporting, and recruitment management features
• Communication tools for connecting schools and principals

Important: EDHR acts solely as an intermediary platform. We do not guarantee job placements, employment outcomes, or the quality of any school or principal. All hiring decisions are made independently by schools, and EDHR is not responsible for the outcome of any recruitment process, employment relationship, or any disputes arising therefrom.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. During registration, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Types

We offer different account types:

• School Accounts: For educational institutions to post jobs and manage recruitment
• Principal Accounts: For education professionals to search for jobs and apply to positions

3.3 Account Verification

We reserve the right to verify the identity and credentials of users. We may request additional documentation or information to verify your account. Failure to provide requested verification may result in account suspension or termination.

4. User Responsibilities and Conduct

4.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable local, state, national, or international law or regulation
• Infringe upon the intellectual property rights of EDHR or any third party
• Transmit any material that is defamatory, obscene, offensive, or harmful
• Harass, threaten, or discriminate against other users
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use automated systems (bots, scrapers, etc.) to access or collect data from the Service without authorization
• Attempt to gain unauthorized access to any portion of the Service or any other accounts, systems, or networks
• Post false, misleading, or fraudulent information
• Engage in any activity that could damage, disable, or impair the Service

4.2 Content Standards

All content you submit to the Service, including profiles, job postings, applications, and communications, must:

• Be accurate, truthful, and not misleading
• Comply with all applicable laws and regulations
• Not violate any third-party rights, including intellectual property, privacy, or publicity rights
• Not contain discriminatory language or content
• Not contain spam, unsolicited commercial messages, or promotional content unrelated to education recruitment

5. Intellectual Property Rights

5.1 EDHR's Intellectual Property

The Service, including its original content, features, functionality, design, logos, trademarks, and software, is owned by EDHR and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You acknowledge that the Service contains proprietary and confidential information.

5.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes related to education recruitment.

5.3 User Content

You retain ownership of any content you submit to the Service ("User Content"). However, by submitting User Content, you grant EDHR a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to:

• Use, reproduce, modify, adapt, publish, and display your User Content
• Distribute and make your User Content available to other users as necessary to provide the Service
• Use your User Content for marketing and promotional purposes (with your consent)

5.4 Restrictions

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any portion thereof without our express written permission. Any unauthorized use may result in immediate termination of your access and legal action.

6. Fees and Payment

6.1 Subscription Fees

Certain features of the Service may require payment of subscription fees. We offer various subscription plans with different features and pricing. All fees are stated in Indian Rupees (INR) unless otherwise specified.

6.2 Payment Terms

• Fees are charged in advance on a monthly, quarterly, or annual basis as selected
• All payments are processed through secure third-party payment processors
• You are responsible for providing accurate payment information
• Fees are non-refundable except as required by law or as specified in our refund policy

6.3 Price Changes

We reserve the right to modify subscription fees at any time. We will provide at least 30 days' notice of any price increases. Price changes will apply to subsequent billing cycles.

7. Disclaimers and Warranties

7.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that:

• The Service will be uninterrupted, error-free, or secure
• Defects will be corrected
• The Service or servers are free of viruses or other harmful components
• The results obtained from using the Service will be accurate or reliable

7.2 No Employment Guarantee

EDHR does not guarantee job placements, employment offers, or successful recruitment outcomes. We are not responsible for hiring decisions made by schools or the terms and conditions of any employment relationship.

7.3 Third-Party Content

The Service may contain content, links, or references to third-party websites, services, or resources. We do not endorse or assume responsibility for any third-party content, products, or services. Your interactions with third parties are solely between you and the third party.

8. Limitation of Liability

To the maximum extent permitted by applicable law, EDHR and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Loss of goodwill or reputation
• Cost of substitute services
• Damages resulting from your use or inability to use the Service
• Damages resulting from unauthorized access to or alteration of your data

Our total liability for any claims arising from or related to your use of the Service shall not exceed the amount you paid to EDHR in the twelve (12) months preceding the claim, or one hundred dollars (₹100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless EDHR and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any law or the rights of any third party
• Any User Content you submit or transmit through the Service
• Your breach of any representation or warranty in these Terms

10. Termination

10.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in your account settings
• Contacting us at support@edhr.com

10.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or our Privacy Policy
• Fraudulent, illegal, or harmful activity
• Extended periods of account inactivity
• Requests from law enforcement or regulatory authorities
• Non-payment of fees (for paid accounts)
• Any other reason we deem necessary to protect the Service or other users

10.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and all associated data, subject to our data retention policies and legal obligations. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to Sections 5, 7, 8, 9, and 12.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

11.2 Dispute Resolution Process

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service, the parties agree to:

• First attempt to resolve the dispute through good faith negotiations
• If negotiations fail, submit the dispute to mediation with a mutually agreed mediator
• If mediation fails, submit the dispute to binding arbitration in accordance with the Arbitration and Conciliation Act of India

11.3 Jurisdiction

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of India, and you consent to the personal jurisdiction of such courts.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EDHR regarding your use of the Service and supersede all prior agreements and understandings.

12.2 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending you an email notification (if you have provided an email address)
• Displaying a prominent notice on our platform

Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.

12.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

12.4 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of EDHR.

12.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms or any rights hereunder without restriction.

12.6 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or internet or telecommunications failures.
